Non-Disclosure Agreement (NDA) Policy

• Purpose

  This Non-Disclosure Agreement (NDA) Policy outlines the commitment of My Next Film Private Limited ("Company," "we," "our," or "us") to maintaining the confidentiality of proprietary and sensitive information shared with employees, contractors, partners, and third parties.

• Scope

  This policy applies to:

  • All employees, contractors, vendors, and external partners.
  • Any third party granted access to confidential company data.
  • All forms of confidential information, including verbal, written, digital, or physical records.
• Confidential Information

  For the purpose of this policy, "Confidential Information" includes, but is not limited to:

  • Business strategies, financial records, and operational plans.
  • Software code, intellectual property, and proprietary algorithms.
  • Customer data, marketing strategies, and research findings.
  • Legal documents, contracts, and non-public agreements.

  Confidential Information does not include:

  • Information that is publicly available at the time of disclosure.
  • Information that becomes publicly known without a breach of this policy.
  • Information legally received from a third party without a confidentiality obligation.
• Obligations of Parties

  All individuals subject to this policy agree to:

  • Maintain strict confidentiality and prevent unauthorized disclosure.
  • Use Confidential Information solely for the intended business purposes.
  • Implement reasonable security measures to protect sensitive data.
  • Return or destroy Confidential Information upon request or termination of engagement.
• Duration of Confidentiality

  Confidentiality obligations shall remain in effect:

  • For the duration of the individual’s association with My Next Film Private Limited.
  • For a period of 3 years after termination, unless otherwise stated in a separate NDA agreement.
• Exceptions to Disclosure

  Confidential Information may be disclosed only:

  • With prior written consent from My Next Film Private Limited.
  • As required by law, regulatory authorities, or a court order.
  • To authorized personnel who require access for business operations.
• Consequences of Breach

  Violations of this NDA Policy may result in:

  • Disciplinary action, including termination of employment or contract.
  • Legal action for damages and injunctive relief.
  • Permanent restriction from accessing company resources or partnerships.
• Governing Law

  This policy is governed by the laws of India. Any disputes arising from the enforcement of this policy shall be resolved in the courts of Delhi, India.

• Acknowledgment

  By engaging with My Next Film Private Limited, all employees, contractors, and partners acknowledge and agree to abide by the terms of this NDA Policy.
